Terms of Service

Please read these Terms of Service ("Terms") carefully before using Aegis by Hugz
(the "Service") operated by Hugz Tech Solutions Limited ("Hugz Tech",
"we", "us", "our").
By downloading, installing, creating an account, or using the Service, you ("you",
"your", "User") agree to be bound by these Terms. If you do not agree,
do not use the Service.
1. What Aegis Is — and Is Not
⚠️ IMPORTANT — PLEASE READ CAREFULLY.
Aegis by Hugz is a supplemental personal safety tool. It is designed to
complement — not replace — official emergency services such as 199 (Nigeria),
911 (USA), 112 (EU/international), or any other local emergency number.
In any life-threatening emergency, contact your local emergency services first.
Do not rely solely on Aegis to summon help. The Service is subject to failures including but
not limited to: network outages, device battery depletion, GPS inaccuracy, push-notification
delivery failures, server downtime, and incorrect app configuration. Hugz Tech makes no
guarantee that an alert sent through Aegis will be received, acted upon, or will prevent harm.
Aegis is not a monitored alarm system. No human operator monitors alerts in real time. Alerts
are delivered digitally to the contacts and guardians you have configured; their ability and
willingness to respond is outside our control.
2. Eligibility
- You must be at least 13 years old to create an Aegis account.
- Users aged 13–17 must have verifiable parental or legal guardian consent. A parent or
guardian accepting these Terms on behalf of a minor bears full responsibility for that
minor's use of the Service.
- You must have the legal capacity to enter into a binding contract in your jurisdiction.
- If you are using the Service on behalf of an organisation, you represent that you have
authority to bind that organisation to these Terms.
3. Account Registration and Security
- You are responsible for maintaining the confidentiality of your account credentials and
for all activity that occurs under your account.
- You must provide accurate, current, and complete information when registering and must
keep it up to date.
- You must notify us immediately at
admin@hugztech.com if you suspect unauthorised
access to your account.
- We are not liable for any loss or damage arising from your failure to maintain account
security.
4. Subscription Plans and Billing
4a. Plan Tiers
Aegis offers a free plan and paid plans (Plus, Family, Premium). Features vary by plan.
Current plan details, pricing, and quotas are displayed within the app and on our website.
We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
4b. Billing
- Paid subscriptions are billed in advance on a monthly or annual basis through your
device's app store (Apple App Store or Google Play) or as otherwise stated at checkout.
- Subscriptions automatically renew at the end of each billing period unless cancelled at
least 24 hours before renewal through your app store account settings.
- All payments are processed by the respective app store or our payment processor. We do
not store your payment card information.
4c. Refunds
Refunds are subject to the refund policy of the app store through which you purchased the
subscription. We do not issue refunds directly for purchases made through app stores, except
where required by applicable consumer protection law.
4d. Plan Downgrades
If you downgrade your plan, access to higher-tier features ceases at the end of your current
billing period or immediately upon downgrade, depending on the platform. Stored data (e.g.,
location history) beyond the limits of your new plan will be queued for deletion. Guardian
relationships will persist but features visible to guardians will be restricted to what your
new plan allows. We are not responsible for any safety gaps caused by a plan downgrade.
5. Guardian and Dependent Relationships
5a. How Guardian Relationships Work
Aegis allows users to designate other users as guardians (people who can receive alerts and
monitor their location) and dependents (people whose alerts and location they can receive and
monitor). Creating a guardian or dependent relationship requires the consent of all parties
involved.
5b. Free-Plan Guardian Limitations
⚠️ Important. A user on a
free plan who acts as your guardian
has limited visibility. Specifically:
- They will receive push notifications for Panic and Follow Me alerts.
- They cannot view your live location or map in the Guardian Dashboard
outside of an active Panic or Follow Me session.
- Always-On background tracking is stored as a preference in your settings
but will not be active until your guardian upgrades to a paid plan. At
that point, Always-On tracking will activate automatically without any action required
from you.
It is your sole responsibility to ensure that your designated guardians hold the plan level
appropriate for the monitoring you require. Hugz Tech is not liable for any harm arising from
a guardian's inability to monitor you due to their plan level.
5c. Free-Plan Users as Dependents
A free-plan user cannot be added as a dependent by a guardian through the "Add Dependent"
flow initiated from the Guardian Dashboard. However, a paid-plan user may request a free-plan
user to be their guardian, and the free-plan user may accept.
5d. Guardian Consent and Removal
Both parties may remove a guardian or dependent relationship at any time through the Safety
Permissions screen. Removing a relationship immediately stops all tracking and alert sharing
between the two parties.
5e. No Guarantee of Guardian Availability
Hugz Tech does not guarantee that a designated guardian will respond to, receive, or act upon
any alert. Guardians are private individuals or trusted contacts of your choosing. Their
availability, device condition, network connectivity, and responsiveness are beyond our control.
6. Location Tracking and Privacy
- You are responsible for obtaining all necessary consents from individuals whose location
you track (e.g., dependents) before enabling tracking features.
- Always-On tracking sends your location to our servers continuously when enabled. Battery,
network, and GPS signal conditions affect the accuracy and reliability of location data.
- Location data shared via external tracking links (e.g., Follow Me links) may be accessed
by anyone with the link. Do not share tracking links with untrusted parties.
- You must not use Aegis to track any person without their knowledge and explicit consent.
Doing so may constitute a criminal offence under applicable law.
7. Acceptable Use
You agree not to use the Service to:
- Track, monitor, or surveil any individual without their knowledge and consent.
- Harass, intimidate, stalk, or abuse any person.
- Generate false SOS alerts, panic events, or emergency notifications.
- Interfere with or disrupt the Service, its infrastructure, or other users.
- Attempt to reverse-engineer, decompile, or extract source code from the app.
- Use automated tools to scrape, mine, or bulk-access data from the Service.
- Violate any applicable local, national, or international law or regulation.
- Impersonate any person or entity, or misrepresent your identity.
We reserve the right to suspend or terminate any account that we determine, in our sole
discretion, has violated these Terms.
8. Feature Availability and Service Changes
- Features are provided on an "as available" basis and may change, be suspended, or be
discontinued at any time with reasonable notice.
- Alert quotas (number of Panic alerts, Follow Me sessions) are enforced per billing cycle.
Quota limits are displayed within the app.
- We may impose fair-use limits on any feature to maintain service quality for all users.
- We make no guarantee of uninterrupted availability, particularly in conditions outside
our control (network outages, device failures, OS restrictions on background processing).
9. Intellectual Property
The Service and all associated content, features, and functionality (including but not limited
to design, logos, text, and code) are owned by Hugz Tech Solutions Limited or its licensors
and are protected by intellectual property laws. You are granted a limited, non-exclusive,
non-transferable, revocable licence to use the Service for personal, non-commercial safety
purposes in accordance with these Terms.
You retain ownership of any content you submit (e.g., profile photos, safe-zone labels).
By submitting content you grant us a limited licence to use, store, and process it solely to
provide the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND,
EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUGZ
TECH SOLUTIONS LIMITED DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE
OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY ALERT, LOCATION DATA,
OR NOTIFICATION DELIVERED THROUGH THE SERVICE.
- WARRANTIES THAT THE SERVICE WILL PREVENT HARM, INJURY, DEATH, PROPERTY DAMAGE,
OR ANY OTHER ADVERSE OUTCOME.
Aegis is a technological aid. It cannot guarantee your safety, and its use does not reduce
your responsibility to take appropriate precautions and contact emergency services when needed.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- HUGZ TECH SOLUTIONS LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS,
AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF LIFE, PERSONAL
INJURY, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION,
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
- IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR
CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT
PERMITTED BY LAW.
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE
SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS
PRECEDING THE CLAIM, OR (B) £50 (FIFTY POUNDS STERLING).
Nothing in these Terms limits liability for death or personal injury caused by our negligence,
fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Hugz Tech Solutions Limited and its officers,
directors, employees, and agents from and against any claims, liabilities, damages, losses,
and expenses (including legal fees) arising from:
- Your use or misuse of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including privacy rights.
- Any tracking of another person without their consent conducted using the Service.
13. Third-Party Services and Links
The Service integrates with third-party services (Google Maps, Firebase, RevenueCat, etc.).
These services have their own terms and privacy policies. Your use of those services through
Aegis is subject to those third-party terms. We are not responsible for the content, practices,
or availability of any third-party service.
14. Termination
Either party may terminate these Terms at any time.
- You may terminate by deleting your account and ceasing use of the Service.
- We may suspend or terminate your access immediately if we determine, in
our sole discretion, that you have violated these Terms or applicable law, or if we
discontinue the Service.
- Upon termination, your right to use the Service ceases. Provisions that by their nature
should survive termination (including Sections 10, 11, 12, and 15) will do so.
15. Governing Law and Dispute Resolution
15a. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria,
without regard to conflict-of-law principles. This does not affect any mandatory consumer
protection rights you may have under the laws of your country of residence.
15b. Informal Resolution
Before initiating any formal dispute process, you agree to contact us at
admin@hugztech.com and give us 30 days to resolve
the issue informally.
15c. Jurisdiction
If a dispute cannot be resolved informally, both parties agree to submit to the exclusive
jurisdiction of the courts of Nigeria, unless mandatory consumer protection law in
your jurisdiction requires otherwise.
16. Force Majeure
We will not be liable for any delay or failure to perform our obligations under these Terms
where such delay or failure results from circumstances beyond our reasonable control, including
but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government
actions, telecommunications failures, internet outages, or failures of third-party infrastructure
providers.
17. Changes to These Terms
We may update these Terms at any time. We will provide at least 14 days' notice of material
changes via an in-app notification or email to your registered address. If you do not accept
the updated Terms, you must stop using the Service before the effective date. Continued use
after the effective date constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that
provision shall be modified to the minimum extent necessary to make it enforceable, or severed
if modification is not possible. The remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific
features, constitute the entire agreement between you and Hugz Tech Solutions Limited regarding
the Service and supersede all prior agreements.
